General Terms

By using or accessing essentialyfe.com, including any root subdomains (each a "Site"), you acknowledge that you agree to and are subject to the following terms and conditions, as well as our Privacy Policy (collectively, the "Terms"). If you do not fully agree to these Terms, Privacy Policy, and any other terms posted or linked to any Site, you are not authorized to access or otherwise use the Site.

Each Site is operated by EssentiaLyfe, Inc. ("EL," "we," "us," or "our"). Our registered address is: 145 S. Fairfax Ave. Los Angeles, CA 90036. You must be at least 18 years old and legally capable of entering into binding contracts to use this Site. We do not knowingly collect information from anyone under 18.

1. The Site is an Advertising Platform

The Site advertises rental properties and other services that may or may not be available subject to a separate rental agreement. You may be required to enter into a separate agreement and/or waiver prior to making a booking. You agree to abide by all applicable laws, rules, and regulations in connection with your use of the Site.

2. Limited License to Use the Site

You are granted a limited, revocable, non-exclusive license to access the Site and its content solely for the purpose of:

• (a) searching for a vacation rental or event venue;
• (b) researching or inquiring about products or services offered on the Site;
• (c) or any other purpose clearly stated on a Site — all in accordance with these Terms.

Any use outside these purposes or not otherwise authorized by us in writing is expressly prohibited.

3. Unauthorized Uses of the Site

The license granted to you does not include any right to collect, aggregate, copy, scrape, duplicate, display, or create derivative works from the Site, nor any right to use data mining, robots, spiders, or similar tools — without our prior written permission. A limited exception applies to general-purpose internet search engines that comply with our robots.txt file from a stable, identifiable IP address. This exception does not apply to competing vacation rental or property listing services.

Unauthorized uses include, but are not limited to:

• Any commercial use of the Site or its content without prior written authorization.
• Copying, reproducing, uploading, distributing, or transmitting any part of the content in any form.
• Framing, mirroring, or deep-linking to any portion of the Site without our express written permission.
• Modifying, translating, or creating derivative works from any Site content.
• Reverse engineering any part of the Site.
• Selling, transferring, or licensing any portion of the Site to third parties.
• Using the Site to post false, fraudulent, or misleading information.
• Posting unlawful, threatening, abusive, defamatory, obscene, or sexually explicit content.
• Violating the intellectual property rights of EL or any third party.
• Taking any action that adversely affects the performance or function of the Site.

4. Proprietary Rights and Downloading

The Site and all content are protected by U.S. and international copyright laws. You agree to abide by all copyright notices and restrictions. For your own personal, non-commercial use, you may download, display, or print one copy of any portion of the Site, provided you reproduce our copyright notice and do not modify the content.

5. Your Email Address, Data, and Our Privacy Policy

By providing your email address to us, you agree to allow EssentiaLyfe and its affiliated websites to add your address to our user database. Regardless of your physical location, you acknowledge that your data may be stored and processed in the United States or other countries where we operate. If you use any of our tools that integrate with a third-party website, that third party is independently responsible for how it handles your data.

6. Identity Verification and Account Security

Online identity verification is inherently limited, and we do not assume responsibility for confirming each user's identity. You agree to:

• Keep your password and account credentials strictly confidential.
• Notify us immediately if you believe your credentials have been compromised.
• Notify us immediately if you are contacted by anyone requesting your login information.

IMPORTANT: YOU ARE RESPONSIBLE FOR ALL TRANSACTIONS MADE USING YOUR ACCOUNT CREDENTIALS, INCLUDING UNAUTHORIZED TRANSACTIONS. NEITHER EL NOR ITS AFFILIATES WILL BE LIABLE FOR ANY UNAUTHORIZED TRANSACTION MADE USING YOUR PASSWORD.

7. Social Media and Third-Party Websites

If you choose to use a tool or service that connects your account to a Social Media Site (e.g., Facebook), you acknowledge that:

• Public content from your Social Media profile may be accessed and used by us in connection with the Site.
• Such Social Media Content is treated as "user-generated content" under these Terms.
• Any disputes regarding the classification of such content must be resolved directly with the Social Media Site.
• Your use of the Social Media Site continues to be governed by that site's own terms and privacy policy.

8. Translations and Maps

The Site's primary language is English. If any content is translated, you are solely responsible for reviewing its accuracy. Translation services are offered free of charge unless otherwise specified. Maps on the Site that are provided by Google are subject to Google's Maps Terms of Service, available at google.com/intl/en_us/help/terms_maps.html.

9. Intellectual Property; DMCA Notice and Procedure

We respect intellectual property rights and do not permit copyright infringement on the Site. Repeat infringers may have their access terminated.

How to Submit a DMCA Notice

To report copyright or trademark infringement, send a written notice to our Designated DMCA Agent that includes:

• A physical or electronic signature of the rights owner or their authorized agent.
• Identification of the copyrighted work or trademark claimed to be infringed.
• Identification of the allegedly infringing material and its location on the Site.
• Your contact information (address, phone, email).
• A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or law.
• A statement, under penalty of perjury, that the information is accurate and you are authorized to act.

10. Unsolicited Ideas and Feedback

If you submit ideas, suggestions, artwork, or other creative works to us ("Submissions"), you agree that:

• (1) the Submission automatically becomes the property of EL with no compensation owed to you;
• (2) EL may use or redistribute the Submission for any purpose;
• (3) EL has no obligation to review or maintain confidentiality of any Submission.

We welcome feedback about our services. Please send specific feedback using the contact information in Section 18. We reserve the right to use feedback in any manner without obligation of confidentiality.

11. Software and Export Controls

Software available on the Site is controlled by U.S. export laws. By using the Site, you represent that you are not located in, under the control of, or a national of any country subject to U.S. embargo restrictions, and that you are not listed on any U.S. government restricted parties list (including OFAC's Specially Designated Nationals list or the Commerce Department's Denied Persons List). All software is the copyrighted work of EL or its licensors. Your use is governed by these Terms and any additional license agreement that may accompany the software. Copying or reproducing software from this Site is expressly prohibited except as provided in a separate license agreement.

12. Links to Third-Party Sites

The Site may contain links to third-party websites and resources. Such links do not constitute an endorsement by EL. We are not responsible for the content, accuracy, or practices of third-party sites, and your use of those sites is not governed by these Terms.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EL AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY LOST PROFITS, INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR PUNITIVE DAMAGES ARISING FROM: (A) YOUR USE OF THE SITE; (B) THESE TERMS; (C) ANY BREACH OF THESE TERMS; (D) USER-CONTRIBUTED CONTENT; (E) INTERACTIONS WITH THIRD-PARTY SITES; OR (F) ANY ACTUAL OR ATTEMPTED COMMUNICATION OR TRANSACTION BETWEEN USERS — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IF YOU ARE DISSATISFIED WITH THE SITE OR THESE TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO STOP USING THE SITE. IN ALL EVENTS, EL'S TOTAL LIABILITY TO YOU IS LIMITED TO THE GREATER OF: (A) FEES PAID TO US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) $100.00 IN THE AGGREGATE.

14. Disclaimers

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL REPRESENTATIONS AND WARRANTIES, INCLUDING NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND ACCURACY. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS. BY USING THE SITE, YOU ACKNOWLEDGE THAT TRANSMISSIONS TO AND FROM THE SITE ARE NOT CONFIDENTIAL AND MAY BE READ OR INTERCEPTED BY OTHERS. NO CONFIDENTIAL, FIDUCIARY, OR OTHER SPECIAL RELATIONSHIP IS CREATED BETWEEN YOU AND EL BEYOND WHAT IS SET FORTH IN THESE TERMS.

15. Release; Indemnification

If you have a dispute with another user of the Site or any linked third-party site, you agree to release and forever discharge each member of EssentiaLyfe and their agents, directors, officers, and employees from all claims arising from or connected with that dispute.

CALIFORNIA RESIDENTS: BY AGREEING TO THESE TERMS, YOU EXPRESSLY WAIVE CALIFORNIA CIVIL CODE SECTION 1542, WHICH PROVIDES THAT A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST AT THE TIME OF EXECUTING THE RELEASE.

You agree to indemnify, defend, and hold harmless EL and its officers, managers, owners, employees, and agents from and against all losses, liabilities, expenses, and costs (including reasonable attorneys' fees) arising from:

• (a) your use of the Site;
• (b) your breach of these Terms;
• (c) content you post;
• (d) your use of any third-party tool or service;
• (e) or any harm you cause to another user or third party.

EL reserves the right to assume exclusive control of any defense subject to indemnification by you, at its own expense.

16. Governing Law; Dispute Resolution; Limitation Period

These Terms are governed by the laws of the State of California, without regard to conflict of law provisions. You consent to the exclusive jurisdiction of the state and federal courts located in California for any dispute not subject to arbitration.

Arbitration

All disputes arising under these Terms shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall be held in Los Angeles, California, before one arbitrator.

Arbitration Opt-Out

You may opt out of this arbitration agreement by sending written notice to info@essentialyfe.com within 30 days of first accepting these Terms. Your notice must state your name, address, and a clear statement that you wish to opt out of arbitration.

Time Limit on Claims

Any claim or cause of action arising from your use of the Site or these Terms must be filed within one (1) year after it arose, or it will be permanently barred.

17. Responsibility for Property and Traveler Liability

EssentiaLyfe does not provide liability insurance for property owners, managers, or travelers. Users are solely responsible for obtaining sufficient insurance coverage. Property owners/managers agree to obtain and maintain appropriate insurance prior to hosting their first traveler and through the departure date of each booking, and agree to provide proof of coverage upon request.

No Agency

The relationship between you and EL is that of independent contractors. No agency, partnership, joint venture, employer-employee, or franchise relationship is intended or created by these Terms.

Notices

Notices to EL may be sent by email to info@essentialyfe.com or by certified mail to the address above. Notices by email are deemed received upon verification of delivery or 24 hours after sending, whichever is earlier. Notices by certified mail are deemed received three days after mailing.

Changes to the Site or These Terms

We may change, suspend, or discontinue any aspect of the Site at any time. We may also amend these Terms at our discretion. The last-updated date at the top of this page will reflect any changes. Your continued use of the Site after posting of amendments constitutes your acceptance of the revised Terms. If you disagree with a material amendment, your sole remedy is to stop using the Site.

Entire Agreement; Severability

These Terms constitute the entire agreement between you and EL regarding use of the Site and supersede all prior agreements. If any provision is found invalid or unenforceable, the remaining provisions remain in full force and effect.

Assignment

EL may assign these Terms without your consent. You may not assign your rights under these Terms without our prior written consent.

Your Records

We do not separately file the Terms entered into by each user. Please print or save a copy of these Terms for your records.

19. Use of Trademarks and Logos

You may not use the EssentiaLyfe name or logo in any way that suggests your company is sponsored by, affiliated with, or endorsed by EL without prior written authorization. The EL name and logo are registered trademarks in the United States and other jurisdictions. For permission to use our name or logo, contact info@essentialyfe.com.

20. Payment Methods; Extended Stays

Payments must be made in U.S. Dollars via major credit or debit card, PayPal, or a check drawn on a U.S. bank. Pursuant to your rental agreement, you authorize EL to charge your payment method for additional periods if you stay beyond the agreed checkout date. Each additional charge will be for the same duration as the original stay, plus a processing fee for the extended stay.

21. Refunds and Cancellations; Termination of Listings

Refund Policy

Refunds are generally not available. If you believe you qualify under an active guarantee program, contact customer support at info@essentialyfe.com and include your listing or booking number and reason for the request.

Our Right to Terminate Listings

We reserve the right to remove any listing from the Site at any time, without advance notice, in our sole discretion.

22. Modifications to These Terms

We may modify these Terms at any time by posting the updated version on the Site. You are responsible for reviewing the Terms periodically. Your continued use of the Site after any modification constitutes your acceptance of the revised Terms. If you do not agree to the amended Terms, you must immediately stop using the Site and notify us to remove you from any distribution lists.

23. Delays and Accessibility

The Site may be subject to delays, failures, and other issues inherent in the use of the Internet and electronic communications. EL is not responsible for any damages resulting from such issues.

24. Cookies

We use cookies and similar technologies to operate and improve the Site, personalize your experience, and analyze usage. By using the Site, you consent to our use of cookies as described in our Privacy Policy. You may control or disable cookies through your browser settings, but doing so may affect your ability to use certain features of the Site.

25. Breach and Liquidated Damages

If you post content in violation of these Terms, you agree to pay us $10,000 per item of prohibited content posted. We may (but are not required to) issue a warning before assessing damages.

If you display, copy, reproduce, sell, or exploit any content from the Site in violation of these Terms, you agree to pay $1,000 per record or report so used.

If you use automated tools to aggregate, disrupt, or damage the Site, you agree to pay $1,000 per record or report affected.

For violations not covered above, you agree to pay EL's actual damages, including attorneys' fees, to the extent they can be reasonably calculated. We reserve the right to seek injunctive or equitable relief in addition to monetary damages.
